Resolution of the board of directors' meeting, No. 6/2000
The Company would like to further clarify the board resolution No. 6/2000 on 12 May 2000 as follows:
1. Union Miniere, S.A. (UM), a Belgian company, is one of the largest company in the metal industry producing and selling more than 20 different types of metals. Their zinc business amounts to 550,000 metric ton per year in sales.
2. The completion of the transaction remains subject to the approval by the regulatory authorities. UM is now in the process of obtaining a waiver from making a tender offer for all securities of the Company from the Office of the SEC.
